Set-up and annual fees

Set-up fees include :

Preparation and filing of all necessary paperwork to : register the company, provision of initial Subscriber, obtaining of the original Certificate of Incorporation. The documents will include Certificate of Incorporation, Memorandum of Association, Articles of Association, Resolution for appointment of Director and allocation of shares, Share Certificate(s). We will also provide a Registered Address and Agent. The documents will be sent to you by Federal Express.

Annual fees includes :

Maintenance of the company, registered office, registered agent, offshore jurisdiction yearly tax.

Nominee Directors[?] A nominee director can be appointed upon your request. Nominee directors are appointed mainly for reasons of confidentiality. For instance, a nominee director will be elected if you do not wish that your name appears on a company business contract or when names of company directors appear in the public registry (as in Panama, for example).

Upon appointment of a nominee director, a Nominee Service Agreement will be signed between the client and the nominee. It will guarantee the client that the nominee can only act or sign documents upon the client's request and with the client's prior approval. It also relieves the nominee from any responsibility. Nominee Shareholders[?] A nominee shareholder can be appointed upon your request. Nominee shareholders are appointed mainly for reasons of confidentiality.

Power of attorney[?]If you have selected the « Nominee Director » option, a power of attorney can be issued in your favour in order to be able to act on behalf of the company. €75
Notarisation & Apostille on documents[?] A notarization means that a notary will check all the documents we issue for your company and that he will confirm their authenticity.

An apostille is an internationally recognized certification and legalization of the corporate documents by the Government of the jurisdiction where your company has been incorporated.

We highly recommend to choose this option if you consider opening a bank account or if you need your corporate documents for any legal proceedings (such as concluding a contract, for example). 		€100
